Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Consortium application, CLI tool, and related services (collectively, the “Service”) provided by Consortium Contributors (“Consortium,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account, downloading the application, installing the CLI tool, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of the Service
Consortium is a remote-control client for AI coding agents (such as Claude Code and OpenAI Codex). The Service allows you to:
- Connect to and control AI coding sessions running on your own machines
- View live terminal output and interact with AI agents from mobile and web devices
- Manage projects and tasks linked to code repositories
- Send end-to-end encrypted direct messages to other users
- Provision and manage cloud virtual private servers (VPS)
- Use voice conversation features with AI
3. Account Registration
3.1 Account Creation
To use most features of the Service, you must create an account. You may register using an email address, GitHub account, or Google account. You agree to provide accurate information and to keep your account credentials secure.
3.2 Cryptographic Keys
Upon account creation, the Service generates a cryptographic master secret on your device. This key is essential for accessing your encrypted data. You are responsible for safeguarding your recovery phrase (a 24-word mnemonic) and any recovery passphrase you set. If you lose your recovery phrase and cannot access any authenticated device, your encrypted data will be permanently unrecoverable. We cannot reset or recover your encryption keys.
3.3 Account Security
You are responsible for all activity that occurs under your account. You must immediately notify us if you become aware of any unauthorized use of your account. We are not liable for any loss arising from unauthorized use of your account.
3.4 Age Requirement
You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction, you must have your parent or legal guardian’s consent.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Upload, transmit, or distribute any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
- Attempt to gain unauthorized access to the Service, other accounts, or computer systems or networks connected to the Service
- Interfere with or disrupt the Service or servers or networks connected to the Service
- Use the Service to distribute malware, viruses, or other harmful code
- Use the Service for any form of automated abuse, including excessive API calls, scraping, or denial-of-service attacks
- Circumvent, disable, or otherwise interfere with security features of the Service
- Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
- Use VPS instances provisioned through the Service for illegal activities, cryptocurrency mining (unless explicitly permitted), or activities that violate the underlying provider’s terms of service
- Resell, redistribute, or sublicense access to the Service without our written consent
5. AI Coding Agents
5.1 Third-Party AI Services
The Service integrates with third-party AI coding agents, including Anthropic’s Claude Code and OpenAI’s Codex. Your use of these AI services is subject to the respective provider’s terms of service and usage policies. We are not responsible for the output, behavior, or availability of third-party AI services.
5.2 Your Responsibility
You are solely responsible for reviewing, testing, and validating any code or output generated by AI agents through the Service. AI-generated code may contain errors, security vulnerabilities, or other issues. You assume all risk associated with using AI-generated code in your projects.
5.3 Permissions and Approvals
When an AI agent requests permission to perform actions (such as executing commands, modifying files, or accessing resources), you are responsible for reviewing and approving or denying those requests. Granting permissions to an AI agent is equivalent to performing those actions yourself.
6. End-to-End Encryption
6.1 Encryption Guarantee
Session content, messages, project data, and other user content are end-to-end encrypted. We do not have the ability to decrypt this content.
6.2 Limitations
While we implement strong encryption, no security system is perfectly secure. We do not guarantee that the Service will be completely immune to security breaches. You acknowledge that:
- The security of your data depends on safeguarding your master secret, recovery phrase, and authenticated devices
- OAuth account recovery (GitHub/Google login) stores an encrypted copy of your master secret on our servers, which involves a different trust model than passphrase-based recovery
- Self-hosting the Service gives you full control over server-side encryption keys
7. User Content
7.1 Ownership
You retain all ownership rights to content you create, upload, or transmit through the Service (“User Content”). We do not claim ownership of your User Content.
7.2 License to Us
By using the Service, you grant us a limited, non-exclusive license to store and transmit your User Content solely as necessary to provide the Service. Because User Content is end-to-end encrypted, this license is effectively limited to storing and relaying encrypted data.
7.3 Responsibility
You are solely responsible for your User Content and the consequences of sharing it. You represent that you have all necessary rights to your User Content and that it does not violate these Terms or any applicable law.
8. Paid Services and Billing
8.1 Subscriptions
Certain features of the Service require a paid subscription. Subscription fees, billing cycles, and included features are described on our website and within the application.
8.2 Payment Processing
Payments are processed by Stripe. By subscribing to a paid plan, you agree to Stripe’s terms of service. We do not store your payment card details.
8.3 VPS Usage
VPS instances are billed based on usage. You are responsible for all charges incurred by VPS instances provisioned under your account, including charges that accrue while instances are running, regardless of whether you are actively using them. You are responsible for stopping or terminating instances you no longer need.
8.4 Refunds
Refund requests are handled on a case-by-case basis. Contact us to discuss any billing concerns.
9. Intellectual Property
9.1 Our Rights
The Service, including its original content (excluding User Content), features, and functionality, is owned by Consortium Contributors and is protected by applicable intellectual property laws. The Consortium name and logo are our trademarks.
9.2 Open Source
The Consortium source code is released under the MIT License. The MIT License applies to the source code only and does not grant rights to our trademarks, branding, or the hosted Service infrastructure.
9.3 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, royalty-free, perpetual, irrevocable license to use that feedback for any purpose without obligation to you.
10. Third-Party Services
The Service integrates with or relies on third-party services, including but not limited to GitHub, Google, Stripe, ElevenLabs, LiveKit, Hetzner, Vultr, and Anthropic. Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT:
- THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
- THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE OR RELIABLE
- ANY ERRORS IN THE SERVICE WILL BE CORRECTED
- AI-GENERATED CODE OR OUTPUT WILL BE FREE OF ERRORS, VULNERABILITIES, OR DEFECTS
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CONSORTIUM, ITS CONTRIBUTORS, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH:
- YOUR USE OF OR INABILITY TO USE THE SERVICE
- ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE
- UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT
- ACTIONS TAKEN BY AI AGENTS THAT YOU APPROVED OR FAILED TO REVIEW
- LOSS OF ENCRYPTED DATA DUE TO LOST ENCRYPTION KEYS OR RECOVERY PHRASES
- VPS INSTANCE CHARGES, DATA LOSS, OR DOWNTIME
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.
13. Indemnification
You agree to indemnify and hold harmless Consortium and its contributors, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your use of the Service
- Your User Content
- Your violation of these Terms
- Your violation of any rights of another person or entity
- Actions taken by AI agents under your account
14. Termination
14.1 By You
You may stop using the Service and delete your account at any time.
14.2 By Us
We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Reasons for termination may include violation of these Terms, abusive behavior, or extended periods of inactivity.
14.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We may delete your account data, including encrypted content stored on our servers. Provisions of these Terms that by their nature should survive termination will survive, including Sections 7, 9.3, 11, 12, 13, and 16.
15. Modifications to the Service and Terms
15.1 Service Changes
We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice.
15.2 Terms Changes
We may revise these Terms from time to time. We will notify you of material changes by posting the updated Terms and revising the “Last updated” date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. If you do not agree with the revised Terms, you must stop using the Service.
16. General Provisions
16.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.
16.2 Dispute Resolution
Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction.
16.3 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
16.4 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Consortium regarding the Service.
16.5 Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
16.6 Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
